Dear Sir or Madam,
In accordance with the provisions of article 9 and the second paragraph of article 10 of the Law
N* 18.045 on the Securities Market and General Rule N* 30 of the Superintendence
of Securities and Insurance, today Commission for the Financial Market, finding myself duly
empowered for these purposes by the Board of Directors of the company, I inform you that in session
Extraordinary Board of Directors held on September 15, 2022, was informed of
a request from the controlling shareholder of this company, Principal Chile Limitada, in order to summon
Extraordinary Shareholders’ Meeting, in order to decide on the approval of a
reduction of excess capital, as well as the corresponding reform of the bylaws.
By virtue of the foregoing, the Board of Directors agreed to summon an Extraordinary Shareholders’ Meeting of this
Society, to be held on October 5, 2022, at 11:00 a.m., to rule on
the following subjects:
1.- The approval of a decrease of an excess capital of up to 11% of the paid-up capital.
2.- Modify the bylaws of the Company in order to reflect the aforementioned decrease in capital,
adopting all such agreements as may be necessary or expedient to comply with and carry out
duly agreed at the Meeting.
3.- To empower the Board of Directors and/or the General Manager of the company to resolve and
implement all aspects, modalities, actions and details that may be presented in
relationship with the resolutions adopted by the Board.
