REF: COMMUNICATES AGREEMENTS OF THE ORDINARY ASSEMBLY OF CONTRIBUTORS
From our consideration:
Pursuant to the provisions of Article 9 and the second paragraph of Article 10 of the Securities Market Law, in connection with Article 18 of Law No. 20,712, being duly authorized, I hereby inform you as an essential fact of FONDO DE INVERSIÓN ACTIVA MERCADO PAGO (the “Fund”), that on May 17, 2023, the Ordinary Meeting of Contributors of the Fund was held, at which the following resolutions, among others, were adopted:
The annual account of the Fund’s management and administration and its Financial Statements were approved;
It was noted that, considering the results of the Fund reported at the meeting, there are net profits received (“BNP”) in the year ended December 31, 2022 that could be distributed as dividends. In this regard, it was reported that the interim dividends distributed during the year 2022 for a total amount of $1,794,768,000 were charged to the BNP of the year as a dividend, which corresponds to the amount of $355,210,000.
3. The annual account of the Audit Committee was approved;
4. The members of the Oversight Committee were elected and were composed of the following persons:
i. Patricio Eguiguren Muñoz;
ii. Manuel Oneto Faure; and
iii. José Miguel Quintana Malfanti.
It was agreed to establish a remuneration for the members of the Supervisory Committee of 15 Unidades de Fomento gross for each session attended, with a maximum of 5 remunerated sessions per year until the next ordinary meeting of contributors is held;
It was approved to establish a budget for the Fund’s Oversight Committee until the next ordinary meeting of contributors of 200 Unidades de Fomento; and
PKF Chile Auditores Consultores Limitada was appointed as the Fund’s external audit firm for fiscal year 2023.
