REF: COMMUNICATES AGREEMENTS OF THE ORDINARY ASSEMBLY OF CONTRIBUTORS
From our consideration:
Pursuant to the provisions of Article 9 and the second paragraph of Article 10 of the Securities Market Law, in connection with Article 18 of Law No. 20,712, being duly empowered, I hereby inform you as an essential fact of FONDO DE INVERSION ACTIVA OPEN CASA SINGLE FAMILY RENTAL U.S.A. (the “Fund”), that on May 17, 2023, the Ordinary Meeting of Contributors of the Fund was held, at which the following resolutions, among others, were adopted:
The annual account of the Fund’s management and administration and its Financial Statements were approved.
It was noted that, considering the Fund’s statement of income, there were no net profits received during the year. In addition, it was indicated that the Fund distributed US$95,000 as interim dividends, 100% of which was imputed to the results of previous years, thus complying with the provisions of Article 80 of the Law and the Fund’s Internal Regulations.
3. The annual account of the Audit Committee was approved.
4. The members of the Oversight Committee were elected and were composed of the following persons:
a. Felipe Díaz Lorca;
b. Germán Honorato Estévez; and
c. Juan Pablo Carreño.
5. It was agreed to establish a remuneration for the members of the Supervisory Committee of 15 Unidades de Fomento gross for each session attended, with a maximum of 5 remunerated sessions per year until the next ordinary meeting of contributors is held.
6. It was approved to establish a budget for the Fund’s Oversight Committee of 200 Unidades de Fomento until the next ordinary meeting of contributors is held.
7. Grant Thornton was appointed as the Fund’s external audit firm for fiscal year 2023.
8. It was agreed to appoint C&A Consultores Contadores Auditores SpA as independent consultants for the valuation of the Fund’s investments in fiscal year 2023.
