ACTIVE INVESTMENT FUND – OLX AUTOMOTIVE DEBT

From our consideration:
Pursuant to the provisions of Articles 9* and 10, second paragraph, of the
Law No. 18.045 on the Securities Market, in relation to Article 18″ of Law No. 20.712
on the Management of Third-Party Funds and Individual Portfolios (hereinafter, the “Management of Third-Party Funds and Individual Portfolios”).
“Law”), being duly authorized, I hereby inform you as follows
essential fact of the Active Investment Fund – OLX Automotive Debt, (the “Fund”),
administered by Larraín Vial Activos S.A. Administradora General de Fondos, which with
on April 25, 2022, the extraordinary assembly of contributors to the Fund was held,
in which the following agreements were adopted, among others:
(a) It was agreed to create two new series D and E quotas of the Fund, which
have the rights and preferences agreed upon by the contributors;
(b) It was agreed to establish an optional procedure for the exchange of existing quotas
series A and B of the Fund, for the new series D and E quotas created for that purpose;
c) It was agreed to modify the reference to the periods of five working days by ten days
established for the Administrator to communicate to the contributors of the Fund, the
Exercise of the right of the latter to participate in the partialities obtained from the
decreases in the capital of the Fund, which do not require the approval of the meeting of
contributors, which is established in paragraphs six and seven, of number 4 of the Roman
VII “Corporate Governance Rules” of the Fund’s Internal Regulations, maintained
the rest of the time limits in the manner currently laid down in the rules of procedure of the
Fund” (hereinafter the “Rules of Procedure”). It was agreed to modify the deadline for
ten working days for five working days for the Administrator to report, through the
means established in the Internal Regulations, the corresponding distribution of dividends
whether provisional or definitive, its amount, date and place or method of payment.

d) It was agreed to amend any mention of ACG Financial SpA to OLX Financial
Chile SpA, in the Internal Regulations, given that the latter is currently the originator
of automotive receivables in which the Fund invests.
e) The new text of the Rules of Procedure was agreed, in the sense of adapting it to
the modifications agreed at the extraordinary meeting of contributors to the Fund,
in accordance with the provisions of the Law, and its respective regulations, approved by Decree
Supreme No. 129 of the year 2014 of the Ministry of Finance (hereinafter, the “Regulation of
the Law”).
f) It was agreed to deposit the new Rules of Procedure resulting from the
operation described above, in accordance with the procedure defined in the Character Standard
General N”365 of the Commission for the Financial Market (hereinafter the “CMF”).
g) Other agreements necessary to implement the
decisions of the extraordinary meeting of contributors to the Fund dated 25 April
2022.
