ESSENTIAL FACT
ACTIVE INVESTMENT FUND FOR HOUSING LEASING AND MORTGAGE DEBT
(“BACKGROUND”)
From our consideration:
Pursuant to the provisions of Article 18 of Law No. 20,712, and being duly authorized for such purpose, I hereby communicate as an Essential Fact, with respect to the Fund, the following:
A. At the Ordinary Assembly of Contributors of the Fund, held on May 17, 2023, it was agreed:
To approve the annual account of the Fund, relating to the management and administration of the Fund, and the corresponding statements;
Agreed: (i) ratify the interim dividends, corresponding to ThCh$799,304, and (ii) not to distribute a final dividend, since 100% of the Net Income Received for fiscal year 2022 has already been distributed;
To appoint Mr. Patricio Eguiguren Muñoz, Mr. Hernán Guerrero Hinojosa and Mr. Juan Eduardo Ferrer Silva as members of the Supervisory Committee.
Approve the budget for expenses of the Surveillance Committee in the amount of 200 Unidades de Fomento;
To fix the remuneration of the Supervisory Committee at the amount of 15 Unidades de Fomento for each session attended, with a maximum of 6 sessions per year;
Appoint HLB Surlatina as external auditors; and
Failure to appoint independent appraisers or valuers.
B. At the Extraordinary Meeting of Contributors held on May 17, 2022, the following resolutions were adopted:
1. Approval was granted to reduce the Fund’s capital by up to 100% of the subscribed and paid-in quotas, in accordance with the terms set forth in Article 67 of the Fund’s Internal Regulations; and 2.
2. Approval was granted to reduce the Fund’s capital by up to 100% of the subscribed and paid-in quotas, in accordance with the terms set forth in Article 68 of the Fund’s Internal Regulations.
