ESSENTIAL FACT
ACTIVE INVESTMENT FUND FOR MORTGAGE DEBT WITH HOUSING SUBSIDY II

From our consideration:
Pursuant to the provisions of Article 9 and the second paragraph of Article 10 of the Securities Market Law, in connection with Article 18 of Law No. 20.712, being duly authorized, I hereby inform you as an essential fact of FONDO DE INVERSIÓN ACTIVA DEUDA HIPOTECARIA CON SUBSIDIO HABITACIONAL II (the “Fund”), that on May 18, 2023, the following Meetings of the Fund’s Contributors were held, at which the following resolutions, among others, were adopted:
A. Ordinary Assembly of Contributors:
The annual account of the Fund’s management and administration and its Financial Statements were approved.
2. It was recorded that interim dividends were distributed in the amount of ThCh$ 8,324,862, which were imputed to 100% of the results of fiscal year 2022, and the remaining balance was imputed to the results of prior years, thus complying with the provisions of Article 80 of Law No. 20,712 and the Fund’s Internal Regulations.
3. The annual account of the Audit Committee was approved.
4. The members of the Oversight Committee were elected and were composed of the following persons:
i. Hernán Guerrero Hinojosa;
ii. Juan Carlos Delano Valenzuela; and
iii. José Antonio López Valenzuela.
5. It was agreed to establish a remuneration for the members of the Supervisory Committee of 20 Unidades de Fomento gross for each session attended, with a maximum of 5 remunerated sessions per year until the next ordinary meeting of contributors is held.
6. It was approved to establish a budget for the Fund’s Oversight Committee of 200 Unidades de Fomento until the next ordinary meeting of contributors is held.
7. Surlatina Auditores Limitada was appointed as the Fund’s external audit firm for fiscal year 2023.
B. Extraordinary Assembly of Contributors:
The modification of Section XVIII “Contribution, Redemption and Appreciation of Quotas” and the incorporation of a new Section XX “Others” in the Fund’s Internal Regulations was approved.
2. A capital decrease of the Fund was agreed upon in accordance with the terms of Article 61 of Section XIX “Capital Decrease and Contributors’ Right of Withdrawal” of the Fund’s Internal Regulations.
3. Adopt such other resolutions as may be necessary to implement the decisions of the Assembly.
