FONDO DE INVERSION LARRAÍN VIAL Activa Leasing Habitacional y Deuda Hipotecaria (“FONDO”) Managed by LARRAIN VIAL ACTIVOS S.A. ADMINISTRADORA GENERAL DE FONDOS
From our consideration:
Pursuant to the provisions of Article 18 of Law No. 20,712 and Articles 9 and 10 of Law No. 18,045 of the Securities Market Law, duly empowered in my capacity as General Manager of Larrain Vial Activos S.A. Administradora General de Fondos (the Administrator), I hereby inform you as an essential fact of the Internal Regulations of the Larraín Vial Activa Leasing Housing and Mortgage Debt Investment Fund, the following:
Pursuant to the provisions of Article 68 BIS of Title XVII of the Fund’s Internal Regulations, the Administrator was empowered to carry out mandatory and partial capital decreases by resolution adopted by the Administrator, without requiring the approval of the Extraordinary Meeting of Contributors of the Fund, for up to 100% of the subscribed and paid-in Quotas of the Fund, in order to restore to all Contributors the proportional part of their investment in the Fund.
Therefore, at a meeting of the Board of Directors of its Administrator held on May 18, 2023, it was agreed to reduce the Fund’s capital by reducing the value of the Fund’s quota by the total amount of $389,124,267, corresponding to $187,512,753 for Series A contributors and $201,611,514 for Series B contributors.
I also inform that the payment of the aforementioned reduction will be made as of May 24, 2023 at the offices of the Administrator, located at Avenida El Bosque Norte N° 0177, 3rd floor, Las Condes, Santiago, from Monday to Friday from 9:00 am to 6:00 pm, to the Contributors who are registered in the respective registry on the 5th business day prior to the payment date, pro rata to the number of quotas they hold on that date.
