From our consideration:
By virtue of the provisions of Article 9 and the second paragraph of Article 10 of Law No. 18,045 on the Securities Market, and in relation to Article 18 of Law No. 20,712, being duly empowered as general manager of Larrain Vial Activos S.A. Administradora General de Fondos (the Administrator), I hereby inform you as an essential fact of the Internal Regulations of the Fondo De Inversión Activa Deuda Automotriz Perú, the following:
By virtue of the provisions of numeral TWO of Title X of the Internal Regulations of the Fund, the Administrator was authorized to carry out capital reductions of said fund without the need for any agreement of an extraordinary meeting of contributors, for up to 100% of the quotas subscribed and paid of the Fund, or of the value of the quotas of the Fund, in order to return to all Contributors the proportional part of their investment in the Fund.
Therefore, at the board meeting of its Administrator, held on May 24, 2023, it was agreed to reduce the capital of the Fund, through the reduction of the fund’s share value, for the total amount of USD 590,924.32, corresponding to USD 59,332.63 for series S, USD 153,143.25 for series R, USD 299,082.99 for series I and USD 79,365.45 for series F.
On the other hand, it was agreed at the same board meeting to distribute a provisional dividend for the total amount of USD 229,910.99 charged to the Fund’s 2023 profits, corresponding to USD 23,084.55 for Series S contributors, USD 59,583.46 for Series R contributors, USD 116,364.26 for Series I contributors and USD 30,878.72 for Series F contributors.
Likewise, I inform that the payment of the decrease in capital and dividend indicated will be made as of May 30, 2023 at the offices of the Administrator, located at Avenida El Bosque Norte No. 0177, 3rd floor, Las Condes, Santiago, from Monday to Friday from 9:00 a.m. to 6:00 p.m., to the Contributors who are registered in the respective registry on the 5th business day prior to the payment date, in proportion to the number of quotas held by them at that date.
